1. About Pavilion
Pavilion is an online marketplace and advertising platform for commercial property, businesses for sale, franchises and residential property. We allow sellers, landlords, agents, brokers and franchisors ("Sellers") to advertise, and buyers and tenants ("Buyers") to search, save, enquire and book viewings.
We are not an estate agent, letting agent, business-transfer agent, broker, adviser or party to any transaction. We do not buy, sell, let, value or negotiate property or businesses, and we do not hold client money. Any agreement to buy, sell, let or rent is strictly between the Buyer and the Seller.
Because we are an advertising platform and not an agent, we are not a member of a property redress or ombudsman scheme in respect of transactions between users. Sellers who are regulated agents remain responsible for their own redress-scheme and regulatory obligations.
2. Eligibility and accounts
- You must be at least 18 and able to enter into a binding contract.
- You do not need an account to browse, enquire or book a viewing. You need an account to publish a listing.
- You are responsible for keeping your login details secure and for all activity under your account.
- You must provide accurate information and keep it up to date.
3. Listings and Seller obligations
If you publish a listing, you confirm that:
- You have the right and authority to advertise the property or business and to deal with enquiries.
- All information is accurate, current and not misleading, including price, premium, rent, tenure, lease years, turnover, net profit, size and planning use class.
- You own or have permission to use all photographs and content you upload.
- The listing complies with all applicable laws, including the Consumer Protection from Unfair Trading Regulations 2008, property misdescription and advertising standards, and anti-money-laundering requirements.
- You will respond to enquiries and manage the listing responsibly, and remove or update it promptly when the property or business is no longer available or the details change.
4. Business and franchise sales — confidentiality and due diligence
Selling a business or franchise often involves sensitive commercial information. Where you buy or express interest in a business or franchise listing:
- The Seller may require you to agree to a confidentiality agreement (NDA) before detailed financial or operational information (such as accounts, turnover, net profit, leases, supplier, customer or staff details) is shared. You must honour any such agreement.
- You may share information received with your professional advisers (for example your accountant, solicitor or bank) strictly for the purpose of assessing the opportunity, provided they also keep it confidential.
- You must not contact the Seller's staff, customers, suppliers or landlord, or visit the business claiming to be a customer, without the Seller's consent.
- Figures and projections in a listing are the Seller's and are not verified by us. You must carry out your own due diligence and take independent legal, financial and tax advice before committing to any purchase.
5. Acceptable use
You must not:
- Post false, misleading, fraudulent, duplicate or unlawful listings or content;
- Impersonate others or misrepresent your authority to advertise;
- Conduct, permit or facilitate any text or data mining, web scraping, or automated extraction of the Platform or its listings, or use any robot, bot, spider, scraper or similar automated means, without our prior written permission;
- Copy, resell, republish or redistribute listings or Platform content, or use them to build or populate a competing service or database;
- Use enquiry or viewing details for unsolicited marketing or any purpose other than responding to that enquiry;
- Upload malware, or attempt to disrupt, damage or gain unauthorised access to the Platform;
- Infringe anyone's intellectual property or privacy rights;
- Use the Platform for anything unlawful or that could harm Pavilion or its users.
6. Enquiries, viewings and conduct between users
When a Buyer enquires or books a viewing, we pass their details to the relevant Seller so they can respond. Both parties are responsible for their own conduct, communications and safety. We are not responsible for the behaviour of any user, the outcome of any viewing, or any agreement reached. Always take sensible precautions when meeting people or visiting properties.
7. Fraud and safety warning
Please stay alert to scams. We will never ask you to pay a deposit, holding fee or purchase money to us, and genuine Sellers should not pressure you to transfer money or sign documents before you have verified who they are and taken advice.
- Be cautious of any request to pay money urgently or off-platform, or that seems too good to be true.
- Verify the identity of the other party and the ownership of the property or business independently.
- Report any suspicious listing or message using the "Report this listing" tool or by contacting us.
8. Fees and paid services
Some features are paid, including single listings, featured placement, agent and broker subscriptions, and franchise opportunity listings. Current prices are shown on our Pricing page and may change. During our launch period, charges shown as "£0 due today" apply, and we will give at least 30 days' notice before paid billing begins.
- Prices are in GBP, with VAT treatment shown at checkout.
- Subscriptions renew automatically until cancelled, unless stated otherwise.
- Fees are for advertising a listing for the stated period; they are not success-based and do not guarantee a sale, let or enquiry.
- Payment is handled by our third-party payment processor; by paying, you also accept their terms.
- Refunds and cancellation are covered in our separate Refund and cancellation policy.
9. Intellectual property
The Platform, its design, software, branding, databases and content (excluding user listings) are owned by us or our licensors and protected by intellectual property laws, including database rights. You may use the Platform only as permitted by these Terms.
By uploading content (including listings and photographs), you grant us a non-exclusive, worldwide, royalty-free licence to host, display, reproduce and promote that content for the purpose of operating and marketing the Platform, including in search engines, link previews and social sharing. You retain ownership of your content.
10. Availability and changes
We aim to keep the Platform available but do not guarantee it will be uninterrupted or error-free. We may change, suspend or withdraw features at any time. We may update these Terms; the "last updated" date shows the current version, and continued use after changes means you accept them.
11. Disclaimers
The Platform and all listings are provided "as is". To the fullest extent permitted by law:
- We do not verify and do not warrant the accuracy, completeness or reliability of any listing, figure, photograph or description, including commercial figures such as turnover and net profit.
- We do not warrant that any property or business is as described, available, suitable, or that any sale or let will complete.
- We assume no responsibility for the acts, omissions or solvency of any user.
12. Liability
Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or anything that cannot be excluded by law.
Subject to that:
- We are not liable for any loss arising from your dealings with other users, reliance on any listing, or any transaction entered into through the Platform.
- We are not liable for indirect or consequential loss, or loss of profit, business, goodwill or opportunity.
- Our total liability to you in connection with the Platform in any 12-month period is limited to the greater of the fees you paid to us in that period or £100.
13. Indemnity
If you are a business user, you agree to indemnify us against claims, losses and costs arising from your listings, your breach of these Terms, or your dealings with other users.
14. Complaints and dispute resolution
If you have a complaint, please contact us at contact@propertypavilion.co.uk and we will try to resolve it promptly. If you are a consumer and we cannot resolve it, you may be able to use an alternative dispute resolution (ADR) provider, and the EU/UK online dispute resolution options where applicable. This does not affect your right to take court action.
15. Termination
You may stop using the Platform and close your account at any time. We may suspend or terminate your access if you breach these Terms. Provisions that by their nature should survive (including Sections 4, 9, 11, 12 and 13) will continue to apply.
16. Governing law and jurisdiction
These Terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction, except that consumers may bring proceedings in their local courts.
